1. INTRODUCTION AND ACCEPTANCE

1.1 Scope of Terms

These Terms of Service ("Terms") govern access to and use of the 911Translate service (the "Service") provided by DeskOfficer, Inc. ("Provider"). The Service is made available to government agencies, public safety organizations, and other authorized public sector entities (each, an "Agency") participating in the 911Translate Free Core Plan. The Free Core Plan is provided as a no-cost pilot or beta offering intended to supplement, and not replace, existing public safety operations.

1.2 Acceptance of Terms

By executing an order form that references these Terms, accessing the Service, or using the Service in any manner, Agency agrees to be bound by these Terms. If the individual accepting these Terms is doing so on behalf of an Agency, such individual represents and warrants that they have the authority to bind the Agency to these Terms.

1.3 Operational Acknowledgement

Agency acknowledges that the Service is provided as a supplemental translation support tool and that Agency is responsible for training its personnel prior to operational use. Agency retains sole responsibility for all operational and emergency response decisions made in connection with use of the Service.

1.4 Modification of Terms

Provider may update or modify these Terms from time to time. Provider will make the then-current version of the Terms available at the applicable Service website. Updated Terms will apply prospectively. For governmental entities, material changes shall apply only to the extent permitted by applicable law or mutually agreed in writing. Provider will make reasonable efforts to provide notice of material changes when practicable.

1.5 Binding Agreement

These Terms constitute a binding agreement between Agency and Provider governing Agency's access to and use of the Service.

1.6 Electronic Acceptance

Electronic acceptance, including acceptance through execution of an order form, click-through acknowledgment, or use of the Service, shall be deemed legally binding and enforceable to the fullest extent permitted by applicable law.

1.7 Compliance With Applicable Law

To the extent any provision of these Terms conflicts with applicable law governing Agency, such provision shall be deemed modified to comply with applicable law while preserving the intent of the parties.

2. SERVICE DESCRIPTION AND SCOPE

2.1 Service Overview

The Service provides real-time and asynchronous language translation assistance designed to support communications between Agency personnel and members of the public. The Service may include voice-based translation, text-based translation, transcription, summaries, and related functionality, as determined by Provider.

2.2 Free Core Plan

The Service is provided as part of the 911Translate Free Core Plan, which is a limited, no-cost offering. Features, functionality, language availability, usage thresholds, and technical capabilities may vary and may be modified from time to time. The Free Core Plan does not include guaranteed service levels, dedicated support, or customized configuration unless otherwise agreed in writing.

2.3 Artificial Intelligence and Automated Outputs

The Service utilizes automated systems, including artificial intelligence and machine learning technologies, which generate probabilistic outputs. Translation results, summaries, transcripts, and related outputs may contain inaccuracies, omissions, or errors. Agency acknowledges that outputs are provided for informational assistance only and are not guaranteed to be accurate, complete, or suitable for any particular purpose.

2.4 Human Review Requirement

Agency personnel must review translation outputs and confirm accuracy before relying on them for operational or emergency-related decisions. The Service is intended to assist Agency personnel and does not replace human judgment, training, supervision, or decision-making.

2.5 Agency Operational Responsibility

Agency remains solely responsible for:

  • Operational decisions
  • Emergency response actions
  • Call handling procedures
  • Communications with callers
  • Compliance with applicable laws, policies, and protocols

2.6 Third-Party Dependencies

The Service may rely on third-party telecommunications networks, internet connectivity, cloud providers, and other dependencies outside Provider's control. Provider does not guarantee availability, performance, call quality, or capacity.

2.7 Usage Limitations and Capacity

Provider may impose reasonable usage limitations, concurrency thresholds, or technical restrictions as necessary to maintain service stability for all users. The Service does not include guaranteed capacity, reserved resources, or priority handling.

2.8 External Factors

Provider is not responsible for:

  • Network outages
  • Telecommunications failures
  • Third-party service interruptions
  • Caller device limitations
  • Background noise or audio quality issues
  • Accents, dialects, or speech clarity limitations
  • Incorrect caller-provided information

2.9 Supplemental Tool

Agency acknowledges that the Service is provided as a supplemental tool and must not be relied upon as the sole means of communication in emergency or mission-critical situations.

3. LICENSE GRANT AND USE RIGHTS

3.1 License Grant

Subject to these Terms, Provider grants Agency a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service solely for Agency's internal governmental and public safety purposes during the Term.

3.2 Authorized Users

Agency may permit its employees, contractors, and authorized personnel ("Authorized Users") to access and use the Service on Agency's behalf. Agency is responsible for ensuring that all Authorized Users comply with these Terms.

3.3 Use Restrictions

Agency shall not, and shall not permit any third party to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Modify, copy, or create derivative works of the Service
  • Use the Service for commercial resale, service bureau, or third-party benefit purposes
  • Circumvent or attempt to circumvent usage limits or technical controls
  • Use the Service in violation of applicable law or regulation
  • Use the Service in a manner that interferes with or disrupts the integrity or performance of the Service

3.4 No Transfer of Rights

Except for the limited rights expressly granted in these Terms, Provider retains all right, title, and interest in and to the Service, including all intellectual property rights. No rights are granted to Agency other than as expressly set forth herein.

3.5 Governmental Use

Agency may use the Service solely in connection with its governmental functions and internal operations. The Service may not be used for private commercial purposes unrelated to Agency's official duties.

3.6 Suspension for Misuse

Provider may suspend access to the Service if Agency's use materially interferes with the Service, poses a security risk, or violates these Terms. Provider will use reasonable efforts to provide notice when practicable.

4. FREE CORE PLAN; NO FEES

4.1 No-Cost Offering

The 911Translate Free Core Plan is provided to Agency at no cost. Agency is not required to pay any fees for access to or use of the Service under the Free Core Plan, unless the parties mutually agree in writing to additional paid features or services.

4.2 No Purchase Commitment

Participation in the Free Core Plan does not obligate Agency to purchase any additional services. Provider may offer optional paid upgrades or expanded functionality, but Agency has no obligation to accept such offerings.

4.3 Limited Support

The Free Core Plan does not include guaranteed support levels, service level agreements, dedicated personnel, or response time commitments. Support, if provided, is offered on a best-effort basis.

4.4 No Professional Services Obligation

Provider is not obligated to provide implementation services, customization, configuration, training, integration, or other professional services as part of the Free Core Plan. Any such services must be mutually agreed in writing.

4.5 Usage Limits

Provider may establish reasonable usage limits, including call volume, concurrency thresholds, feature access, or other technical restrictions. Such limits may be modified to maintain overall system stability.

4.6 Modification or Discontinuation

Provider may modify, suspend, or discontinue the Free Core Plan at any time. Provider will use reasonable efforts to provide advance notice when practicable. For governmental entities, any modification that materially affects Agency's use shall apply prospectively.

4.7 No Guaranteed Availability

Because the Free Core Plan is a no-cost offering, the Service is provided without guaranteed uptime, availability, capacity, or performance commitments.

5. SERVICE LIMITATIONS AND DISCLAIMERS

5.1 No Emergency Replacement

The Service is provided as a supplemental communication tool and is not intended to replace 911 call handling, emergency dispatch operations, or Agency personnel. Agency must maintain existing emergency response procedures independent of the Service.

5.2 No Accuracy Guarantee

The Service utilizes automated translation technologies that may produce inaccurate, incomplete, delayed, or misleading outputs. Provider does not guarantee the accuracy, completeness, reliability, or suitability of any translation, transcript, or summary.

5.3 Human Verification Required

Agency personnel are responsible for reviewing and confirming translation outputs before relying on such outputs for operational, investigative, or emergency-related decisions. Agency assumes all risk associated with reliance on Service outputs.

5.4 No Guaranteed Capacity

Provider does not guarantee that the Service will be available for all calls, languages, or usage volumes. Capacity may vary based on system load, third-party dependencies, and technical constraints.

5.5 Third-Party Dependencies

The Service relies on third-party telecommunications providers, cloud infrastructure, and internet connectivity. Provider is not responsible for failures, outages, delays, or degradation caused by third-party systems.

5.6 External Factors

Translation performance may be affected by factors outside Provider's control, including:

  • Audio quality
  • Caller device limitations
  • Accents or dialects
  • Speech clarity
  • Multiple speakers
  • Caller-provided misinformation

Provider is not responsible for errors resulting from such conditions.

5.7 No Service Level Agreement

The Service is provided without any service level agreement, uptime commitment, response time guarantee, or performance obligation.

5.8 No Professional Services

Provider is not required to provide training, customization, configuration, or operational guidance. Agency is responsible for internal procedures governing use of the Service.

5.9 Beta / Pilot Nature

The Free Core Plan is a pilot or beta offering. Features may change, be removed, or operate in a limited capacity. Agency acknowledges that the Service may evolve and that Provider has no obligation to maintain any specific functionality.

5.10 Supplemental Tool Acknowledgement

Agency acknowledges that the Service is intended only to assist communications and must not be relied upon as the sole method of communication in emergency or mission-critical situations.

6. AGENCY RESPONSIBILITIES

6.1 Operational Responsibility

Agency retains sole responsibility for all operational decisions, emergency response actions, and communications conducted in connection with use of the Service. The Service is a supplemental tool and does not replace Agency personnel or established procedures.

6.2 Training and Procedures

Agency is responsible for training its personnel on appropriate use of the Service prior to operational deployment. Agency shall establish internal procedures governing when and how the Service is used.

6.3 Human Review

Agency personnel must review translation outputs and confirm accuracy before relying on such outputs for operational, investigative, or emergency-related decisions.

6.4 Compliance with Law and Policy

Agency is responsible for ensuring that its use of the Service complies with all applicable laws, regulations, and Agency policies, including those relating to public safety communications, privacy, and records retention.

6.5 Authorized Users

Agency is responsible for all actions taken by its Authorized Users. Agency shall ensure that access credentials are used only by authorized personnel.

6.6 Equipment and Connectivity

Agency is responsible for providing its own telecommunications infrastructure, devices, internet connectivity, and operational environment required to use the Service.

6.7 Data Accuracy

Agency is responsible for the accuracy of any information provided to the Service and for verifying outputs generated by the Service.

6.8 Independent Decision-Making

Agency acknowledges that all operational and emergency response decisions remain solely within Agency's control and responsibility. Provider does not direct or control Agency operations.

7. PROVIDER RESPONSIBILITIES

7.1 Service Provision

Provider will make the Service available to Agency on a best-effort basis in accordance with these Terms. The Service is provided as a free pilot offering without guaranteed availability, uptime, or performance commitments.

7.2 Service Maintenance

Provider may perform maintenance, updates, upgrades, or modifications to the Service from time to time. Such activities may result in temporary interruptions or changes to functionality.

7.3 Feature Modifications

Provider may add, modify, or remove features of the Service at any time. Provider has no obligation to maintain any specific functionality, integration, or capability.

7.4 No Professional Services

Provider is not obligated to provide implementation services, training, customization, configuration, or operational consulting unless mutually agreed in writing.

7.5 Third-Party Services

Provider may rely on third-party vendors, cloud providers, telecommunications services, or artificial intelligence providers to deliver the Service. Provider is not responsible for failures or limitations caused by such third-party services.

7.6 Support

Any support provided under the Free Core Plan is offered on a best-effort basis. Provider does not guarantee response times or resolution timelines.

7.7 Suspension for Security or Stability

Provider may suspend or restrict access to the Service if necessary to address security risks, misuse, or threats to system stability. Provider will use reasonable efforts to provide notice when practicable.

8. SERVICE AVAILABILITY AND SUPPORT

8.1 Best-Effort Availability

The Service is provided on a best-effort basis. Provider does not guarantee continuous availability, uptime, or uninterrupted access to the Service.

8.2 No Service Level Agreement

The Free Core Plan does not include any service level agreement, uptime commitment, response time guarantee, or performance obligation.

8.3 Maintenance and Updates

Provider may perform scheduled or unscheduled maintenance, updates, or upgrades that may temporarily interrupt or affect availability of the Service.

8.4 Capacity Constraints

Service availability may be limited by system capacity, usage levels, or third-party dependencies. Provider does not guarantee capacity for any particular call volume, concurrency level, or language.

8.5 Support

Support, if provided, is offered on a best-effort basis. Provider does not guarantee support response times or resolution commitments.

8.6 Third-Party Dependencies

Availability of the Service may be affected by third-party telecommunications providers, cloud infrastructure, internet connectivity, and other external systems. Provider is not responsible for outages or disruptions caused by such third parties.

8.7 Suspension

Provider may suspend or restrict access to the Service to address security concerns, misuse, or threats to system stability. Provider will use reasonable efforts to provide notice when practicable.

9. DATA OWNERSHIP AND USE

9.1 Agency Data

Agency retains all right, title, and interest in and to data submitted to or generated through Agency's use of the Service, including call content, transcripts, and related information ("Agency Data"), subject to the limited rights granted to Provider under these Terms.

9.2 Provider Use of Agency Data

Provider may access and use Agency Data solely as necessary to:

  • Provide and maintain the Service
  • Monitor system performance and reliability
  • Address technical issues
  • Comply with applicable law

9.3 Aggregated and De-Identified Data

Provider may create and use aggregated, de-identified, or anonymized data derived from use of the Service ("Aggregated Data") for purposes of improving the Service, developing new features, and analyzing system performance, provided that such Aggregated Data does not identify Agency or any individual.

9.4 No Sale of Agency Data

Provider will not sell Agency Data to third parties.

9.5 Third-Party Processing

Provider may process Agency Data using third-party service providers acting on Provider's behalf, subject to reasonable safeguards.

9.6 Public Records

Agency acknowledges that records generated through use of the Service may be subject to public records or freedom of information laws applicable to Agency. Agency is responsible for responding to such requests.

9.7 Data Retention

Provider may retain Agency Data for a reasonable period necessary to operate and improve the Service, unless otherwise required by law.

9.8 Compliance With Applicable Law

Provider's use of Aggregated Data shall be subject to applicable law governing Agency.

10. CONFIDENTIALITY

10.1 Definition

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

10.2 Exclusions

Confidential Information does not include information that:

  • Is publicly available without breach of these Terms
  • Was known to the receiving party prior to disclosure
  • Is independently developed without use of Confidential Information
  • Is lawfully obtained from a third party without restriction

10.3 Obligations

Each party agrees to:

  • Use Confidential Information solely for purposes of these Terms
  • Protect Confidential Information using reasonable safeguards
  • Not disclose Confidential Information to third parties except as permitted herein

10.4 Permitted Disclosure

Confidential Information may be disclosed:

  • To employees, contractors, or agents with a need to know
  • As required by law, court order, or governmental request
  • In response to public records requests applicable to Agency

10.5 Public Records

Provider acknowledges that Agency may be subject to public records laws. Agency may disclose Confidential Information to the extent required by applicable law.

10.6 No Warranty

Confidential Information is provided "as-is" without warranty of any kind.

11. INTELLECTUAL PROPERTY

11.1 Provider Ownership

Provider retains all right, title, and interest in and to the Service, including all software, models, algorithms, documentation, interfaces, and related intellectual property rights. No ownership rights are transferred to Agency.

11.2 Agency Data

Agency retains ownership of all Agency Data submitted to or generated through use of the Service, subject to the limited rights granted to Provider under these Terms.

11.3 Feedback

Agency may provide suggestions or feedback regarding the Service ("Feedback"). Provider may use such Feedback for purposes of improving the Service, provided that such Feedback does not include Confidential Information or Agency Data.

11.4 No Implied Rights

Except for the limited rights expressly granted in these Terms, no licenses or rights are granted by either party, whether by implication, estoppel, or otherwise.

11.5 Trademarks

Each party retains all rights to its respective trademarks, logos, and service marks. Neither party may use the other party's marks without prior written consent, except as permitted under these Terms.

12. SECURITY

12.1 Reasonable Security Measures

Provider will implement reasonable administrative, technical, and organizational measures designed to protect Agency Data against unauthorized access, use, or disclosure.

12.2 No Absolute Security Guarantee

Agency acknowledges that no system can be completely secure. Provider does not guarantee that the Service will be free from unauthorized access, security incidents, or breaches.

12.3 Agency Responsibilities

Agency is responsible for:

  • Controlling access to Authorized User accounts
  • Protecting its own devices and credentials
  • Implementing internal security policies
  • Managing access permissions

12.4 Third-Party Infrastructure

The Service may rely on third-party cloud infrastructure and telecommunications providers. Provider is not responsible for security incidents attributable to third-party systems outside Provider's control.

12.5 Security Notifications

Provider will use reasonable efforts to notify Agency of confirmed security incidents affecting Agency Data, consistent with applicable law.

12.6 Compliance

Provider may maintain security practices aligned with commercially reasonable standards. Unless otherwise agreed in writing, the Free Core Plan does not include specific compliance certifications or contractual security obligations.

13. TERM AND TERMINATION

13.1 Term

These Terms begin on the date Agency first accesses or uses the Service and continue until terminated in accordance with this Section.

13.2 Termination by Either Party

Either party may terminate Agency's access to the Service at any time, with or without cause, upon written notice.

13.3 Suspension or Termination for Cause

Provider may suspend or terminate access to the Service if:

  • Agency materially breaches these Terms
  • Agency's use poses a security risk
  • Agency's use disrupts the Service
  • Required by law

Provider will use reasonable efforts to provide notice when practicable.

13.4 Effect of Termination

Upon termination:

  • Agency's right to access the Service ceases
  • Provider may disable access credentials
  • Provider may delete Agency Data after a reasonable period

13.5 Survival

Provisions that by their nature should survive termination will survive, including:

  • Intellectual Property
  • Confidentiality
  • Disclaimers
  • Limitation of Liability
  • Governing Law

13.6 Modification of Terms

Provider may update or revise these Terms from time to time. Updated Terms will apply prospectively. For governmental entities, material changes shall apply only to the extent permitted by applicable law or mutually agreed in writing.

14. PUBLICITY

14.1 Customer Identification

Provider may identify Agency as a user of the Service in customer lists, presentations, and marketing materials. Provider shall not use Agency's logo, seal, or imply endorsement without Agency's prior written consent.

14.2 Removal Request

Agency may request removal from customer lists at any time, and Provider will comply within a reasonable period.

14.3 No Endorsement

Nothing in these Terms grants Provider the right to state or imply that Agency endorses the Service.

14.4 Government Restrictions

Use of Agency name or identification shall be subject to applicable law governing Agency.

15. WARRANTY DISCLAIMER

15.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROVIDER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

15.2 No Implied Warranties

PROVIDER SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY

15.3 No Performance Warranty

Provider does not warrant that the Service will:

  • Be uninterrupted
  • Be error-free
  • Meet Agency requirements
  • Produce accurate translations
  • Be available at all times

15.4 Third-Party Services

Provider makes no warranties regarding third-party services, telecommunications providers, or infrastructure used to deliver the Service.

15.5 Beta Offering

Agency acknowledges that the Free Core Plan is a pilot or beta offering and may contain errors, limitations, or incomplete features.

16. LIMITATION OF LIABILITY

16.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF USE, LOSS OF BUSINESS, OR LOSS OF REVENUE, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF PROVIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROVIDER'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED THE GREATER OF:

(a) ONE THOUSAND DOLLARS (US $1,000); OR

(b) THE TOTAL AMOUNTS PAID BY AGENCY TO PROVIDER UNDER THESE TERMS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

THE FOREGOING LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

16.3 Allocation of Risk

The parties acknowledge that the limitations set forth in this Section form an essential basis of the bargain and that the Service would not be provided without such limitations.

17. GOVERNING LAW AND DISPUTE RESOLUTION

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state in which the Agency is located, without regard to conflict of law principles.

17.2 Venue

Any legal action arising out of or relating to these Terms shall be brought in a court of competent jurisdiction located within the state in which the Agency is located, unless otherwise required by applicable law.

17.3 Government Entity Limitation

Nothing in these Terms shall be construed as:

  • A waiver of sovereign immunity
  • A waiver of governmental immunity
  • A waiver of statutory protections
  • Consent to jurisdiction where prohibited by law

17.4 Informal Resolution

The parties agree to use reasonable efforts to resolve disputes informally prior to initiating litigation.

18. MISCELLANEOUS

18.1 Independent Parties

The parties are independent contractors. Nothing in these Terms creates any partnership, joint venture, or agency relationship.

18.2 No Third-Party Beneficiaries

These Terms are for the benefit of the parties only and do not create any rights in any third party.

18.3 Assignment

Neither party may assign these Terms without the other party's written consent, which shall not be unreasonably withheld, except that Provider may assign these Terms without consent in connection with a merger, acquisition, or sale of substantially all of its assets.

18.4 Force Majeure

Provider shall not be liable for failure or delay caused by events beyond its reasonable control, including natural disasters, telecommunications failures, cloud provider outages, or acts of government.

18.5 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

18.6 Entire Agreement

These Terms constitute the entire agreement between the parties regarding the Service.

18.7 No Waiver

Failure to enforce any provision shall not constitute a waiver.

18.8 Compliance With Applicable Law

To the extent any provision of these Terms conflicts with applicable law governing Agency, such provision shall be deemed modified to comply with applicable law while preserving the intent of the parties.

19. DEFINITIONS

19.1 "Agency"

"Agency" means the governmental entity, public safety organization, or other authorized public sector entity accessing or using the Service.

19.2 "Authorized Users"

"Authorized Users" means Agency employees, contractors, and personnel authorized by Agency to access or use the Service.

19.3 "Service"

"Service" means the 911Translate translation platform and related functionality provided by Provider.

19.4 "Provider"

"Provider" means DeskOfficer, Inc.

19.5 "Agency Data"

"Agency Data" means data submitted to or generated through Agency's use of the Service, including call content, transcripts, and related information.

19.6 "Aggregated Data"

"Aggregated Data" means data derived from use of the Service that has been de-identified and does not identify Agency or any individual.

19.7 "Free Core Plan"

"Free Core Plan" means the no-cost version of the Service made available under these Terms.

20.2 Notices

Notices under these Terms shall be provided by email or other reasonable written method. Notices to Agency shall be sent to the contact information provided by Agency in connection with its use of the Service.

20.3 Electronic Communications

The parties agree that communications provided electronically satisfy any legal requirement that such communications be in writing.

21. NON-APPROPRIATION AND FUNDING

21.1 No Financial Obligation

Agency's use of the Service under the Free Core Plan does not create any financial obligation. Nothing in these Terms shall be construed to obligate Agency to expend funds.

21.2 Non-Appropriation

To the extent applicable, Agency's obligations under these Terms are subject to the availability of appropriated funds and applicable law governing Agency.

21.3 No Future Commitment

Nothing in these Terms shall be interpreted as a commitment by Agency to purchase paid services or enter into a future agreement.

22. ORDER OF PRECEDENCE

22.1 Order of Documents

In the event of a conflict between these Terms and any order form or other written agreement executed by the parties, the order form or written agreement shall control solely with respect to the subject matter of that document.

22.2 Government Law Supremacy

Nothing in these Terms shall supersede applicable law governing Agency. To the extent any provision conflicts with applicable law, such provision shall be interpreted to comply with applicable law while preserving the intent of the parties.

23. SIGNATURE AND ACCEPTANCE

23.1 Acceptance Methods

These Terms may be accepted by Agency through any of the following:

  • Execution of an order form referencing these Terms
  • Click-through acceptance
  • Electronic signature
  • Use of the Service

23.2 Electronic Signatures

Electronic signatures, including signatures executed through electronic signature platforms, shall be deemed valid and binding to the fullest extent permitted by applicable law.

23.3 Authority

The individual accepting these Terms on behalf of Agency represents and warrants that they have authority to bind the Agency to these Terms.

23.4 Effective Date

These Terms become effective on the earlier of:

  • The date Agency first accesses the Service
  • The date Agency executes an order form
  • The date Agency otherwise accepts these Terms
